Question Description
The arrears of dividend on the preference shares amount to Tosh’s. 126,000,000 grosses. The following capital reconstruction scheme, to take effect as from January 1st, next year had been duly approved and authorize:
(I)the unpaid capital on the ordinary shares to be called up forthwith;
(ii)the ordinary shares thereupon to be reduced to shares of Tosh’s. 250 each fully paid up by canceling Tosh’s. 750 per share and then, each fully paid share of Tosh’s. 250 to be subdivided into five shares of Tosh’s. 50 each fully paid.4
(iii)The holders to surrender four of such Tosh’s. 50 shares out of every five held for re-issue as set out below:
(iv)The 8½ per cent cumulative preference shares together with all arrears of dividend thereon to be surrendered and cancelled, the holders to subscribe to a new issue of convertible 7½ per cent Notes on the terms that for every 50 preference shares held they shall:
- Pay Tosh’s. 20,000 in cash
- Be issued with one Tosh’s. 30,000 Note and
- Receive 80 fully paid ordinary shares of Tosh’s. 50 each being a redistribution of those surrendered by the ordinary shareholders.
(v)The unpaid capital on the shares in the subsidiary to be called up and paid by the parent company whose guarantee to the bank should be cancelled.
(vi)The book value of the freeholds to be written up to Tosh’s. 60,000,000 being the amount of an independent valuation. (vii)The adverse balance on the income statement and the patents to be written off; Tosh’s. 50,000,000 to be written off the shares in the subsidiary and the sums made available by the scheme to be used to write down the plant.
