You recently started working for the law firm of Contracts R Us as a legal assistant. Part of your job includes researching legal issues and writing memos for your boss, Mr. McGill, to use when consulting and advising clients. Luckily, you can on draw the knowledge you gained in your Business Law I class to help you do a good job!
Mr. McGill has a new client, Mr. Ben Kenobi, who has started a new business called “The Force”. He will be hiring several new employees and purchasing equipment and goods. He doesn’t know much about contracts and wants to make sure all the contracts he enters are valid and enforceable. He has lots of questions, and Mr. McGill has passed these onto you to research and answer.
1. What are the elements of a valid, enforceable contract? Be sure to list each element and provide an example of each element to make it easier for Mr. Kenobi to understand.
2. What if one of these elements is missing? Is there any other type of legal rule or rules that allows a promise to be enforced?
3. Do all contracts have to be in writing to be enforceable? Is there some sort of rule that says what type of contracts must be in writing to be enforceable? If so, give the name of that rule and provide an explanation, along with the types of contracts that must be in writing.
4. Would the following contracts have to be in writing? Explain why or why not.
A. A contract to purchase five droids at the price of $200.00 each.
B. A contract to hire Mr. Yoda as a consultant for a period of two years.
C. A contract saying Mr. Kenobi guarantees payment for Luke Skywalker’s loan on his X-Wing.
5. When Kenobi is signing these contracts, sometimes he or the other parties have questions about some of the terms. If a dispute arises later between the parties, can they testify in court about the discussions they had at the time they were signing the contract? What is the legal rule that governs this type of situation?
6. Kenobi is thinking about hiring a pilot named Han Solo, but he has some concerns about being responsible for his actions since Solo tends to be somewhat of a hothead. He knows that there is something called “agency”, but he’s not quite These are his questions.
