Welcome. In BL 240, this is the third written assignment. You will be judged on your response to the task as well as your ability to follow guidelines (format). Remember that your thoughts and thoroughness of response will be rewarded, not your jargon. The goal is for you to demonstrate that you comprehend Unit 3 material and can apply it to a specific collection of facts.
Written Assignment #3: Kyle listened to your advice and chose not to battle for the domain name “KFC.com” for his new product line, Kyle’s Fantastic Condiments. Kyle, on the other hand, wants to take his company, Alabama Sunshine, to the next level of growth. His attempts to market produce in Nauvoo and the adjacent parts of Alabama, as well as into Mississippi and Tennessee, have proven to be quite successful. He now wants to expand to additional desirable locations in areas that he enjoys visiting, such as the beach and resort districts along Alabama’s Gulf Coast and surrounding Mobile Bay. Kyle has identified a potential location for a new store on Dauphin Island, Alabama. Scott is the owner of the property. Kyle hires Alexa to contact Scott, negotiate a price, and, if possible, buy Scott’s land because his business is profitable and people throughout Alabama and neighboring states are familiar with Kyle and Alabama Sunshine. Kyle orders Alexa not to inform Scott that she is working for Kyle because he is concerned that if Scott finds out that he (Kyle) wants the place, the price would go up. During discussions with Scott, Alexa learns that Scott’s property is a great deal, and she purchases it for herself rather than Kyle as planned. Kyle is enraged, and he wants to know what he can do about it.
Kyle comes to you because he respects your expertise of corporate law. What are the issues you’ll have to deal with, and what is the law that governs each one? Kyle adds throughout the conversation that Alabama Sunshine is run as an informal partnership between himself and his cousin, Jerry, who has largely withdrawn from management of the company. He wants to know the benefits and drawbacks of a partnership and other small business organizations, as well as whether he should change the business structure. If so, which would be the most beneficial? In passing, he mentions that Carla, the temporary worker he refused to hire back during peak season (remember WA1), has filed an employment discrimination (gender and national origin) charge against him and Alabama Sunshine, and Kyle wonders what the procedure is for such charges and what he needs to do.
