Because of the legal troubles that their company is encountering, John and Ann Applewood have recruited you as a legal assistant. They want you to draft a legal memorandum to assist the company in moving forward.
Mountain Top View Inc. has a long and illustrious history.
John and Ann Applewood launched Mountain Top View Inc., a modest outdoor-equipment company, based on their love of the outdoors a few years ago. The company has grown so quickly in recent years that it is now a publicly traded company.
John and Ann have found it difficult to adjust to the corporate world. Technology utilization and functionality have been a key concern for the organization because it does a lot of business online. Steve, John and Ann’s new CIO, is in charge of the company’s website and technology. The financial part was also a problem, so John and Ann just hired Victor as their CFO to help them with that.
When owner John arrives in one morning, he learns from his CIO that the customer database information has been hacked. Customers who ordered things online were affected by this data breach. Customers’ names, addresses, and phone numbers were all stolen. John and Ann are aware that they should inform their consumers, but they are also concerned about the possibility for negative publicity as a result of the situation.
One afternoon, Steve learns about a pending confidential merger between Mountain Top View Inc. and a major outdoor retail chain. He tells Victor about the merger during lunch, knowing that the stock price would rise dramatically, and pushes him to buy shares before the news about the merger becomes public. The day before the merger, both Steve and Victor purchase 2,000 shares of company stock. The janitor overhears them talking about the idea and reports them to the authorities, accusing them of insider trading.
Mountain Top View Inc. has also been sued for damages on the grounds of carelessness and product responsibility. After rock climbing with Mountain Top View Inc. equipment, a customer was wounded and had to have his arm amputated. He alleges the line snapped, causing him to fall, and that his injuries were caused by defective equipment.
